Program Terms

These terms cover four things Herae offers beyond a normal subscription: the Creator & Affiliate Program (Part B), invite rewards (Part C), gifts (Part D) and free plans we grant, such as a free month, a free year or free-for-life (Part E). Part A applies to all of them. They sit alongside our Terms & Conditions, Privacy Policy and Refund Policy. Where these terms and the Terms & Conditions disagree about a program, these terms apply.

"Herae", "we" and "us" mean the operator of Herae. "You" means the person taking part.

Part A · For every program

A1. Nothing here has cash value unless it says so

Free nights, free months, free years, free-for-life plans and gift links are access to Herae. They can't be exchanged for money, sold or transferred, except that a gift link is meant to be given to someone. The only program that pays money is the Creator & Affiliate Program in Part B, and only as Part B describes.

A2. Fair use and abuse

You may not earn rewards, commission or free access through fake or duplicate accounts, inviting yourself, automated sign-ups, sessions run only to trigger a reward, misleading claims, spam, or any other way that goes against the purpose of a program. If we reasonably believe that has happened, we may withhold or reverse the rewards, commission or access involved, and remove you from the program. Where we can, we'll tell you why and let you reply before a final decision.

A3. Herae may change or end any program at any time

Herae may change, pause or end any program, or remove anyone from it, at any time, for any reason or no reason. We'll try to give notice by email or in Herae, but we don't have to. When a program ends, or someone is removed from it:

• free access or rewards already given may continue or end, at Herae's choice;
• rewards in progress (for example, 2 of 3 invited couples) end, with nothing owed for them;
• for the Creator & Affiliate Program, what happens to commission is set out in B8.

A4. If Herae stops operating

If Herae closes, stops operating, becomes insolvent, or can't continue for reasons outside our reasonable control (for example, losing a payment provider, a platform removing the extension, or a change in the law), then every program ends and nothing more is owed to anyone under these terms. That includes:

• free access of every kind (invite rewards, free months, free years, free-for-life and free gift links), which ends when the service ends;
• any commission not yet paid out;
• rewards in progress.

The only exception is what the law requires and doesn't allow a contract to exclude, such as a paying consumer's statutory right to a refund for a service they paid for and didn't receive (see A7 and D5).

If Herae or its business is sold, merged or transferred, we may transfer these terms, and anyone's place in a program, to the new owner.

A5. No guarantees

We don't promise any number of sign-ups, earnings or results from any program. Herae is provided as described in section 9 of the Terms & Conditions. The service, its features and its prices may change over time. A free or gifted plan gives the features of that plan as they are at the time, not as they were when it was granted.

A6. Liability

To the extent the law allows, our total liability to you for anything arising from these programs is limited to the greater of (a) the commission paid or payable to you under Part B in the 12 months before the claim, or (b) what you paid Herae in those 12 months, or (c) US$50. We aren't liable for indirect or consequential losses, such as lost profits or lost opportunities. Nothing in these terms limits liability that can't legally be limited, or removes rights you have as a consumer under the law of the country where you live.

A7. Taking part as a consumer

If you take part as a consumer, nothing here removes the mandatory protections of the law where you live. Those protections apply only where the law says a contract can't exclude them. Everything else in these terms applies as written.

A8. Disputes

If something goes wrong, email legal@herae.app first. We'll try in good faith to resolve it within 30 days before either side takes it further. These terms are governed by the law stated in section 13 of the Terms & Conditions, subject to A7.

A9. The rest

If one part of these terms can't be enforced, the rest still applies. If we don't enforce something straight away, we can still enforce it later. Parts A3, A4, A6, A8, B3, B8 and B9 keep applying after you leave a program or a program ends. We may update these terms under A3. The version number and date above show which version is current, and we keep earlier versions.

Part B · Creator & Affiliate Program

B1. Joining

The program is by invitation. To join, you need a Herae account and must be at least 18 and able to enter a contract. If you join on behalf of a business or a team, you confirm you're allowed to bind it. You join when you confirm in writing (an email reply is enough) that you accept these terms, and we confirm you're in. Your written confirmation, the version of these terms you accepted, and your agreed rate are kept on record.

B2. What you earn

Unless we agree a different rate or period with you in writing, you earn 30% of the Net Revenue from each Referred Couple's payments made in the first 6 months after that couple's first payment.

• A Referred Couple is an account created through your Herae invite link, together with the partner account connected to it, where the account didn't already exist and wasn't referred by someone else first. Only the first referral link used counts.
• Net Revenue is what Herae actually receives for a payment after sales tax and VAT, payment-processing and Merchant-of-Record fees, currency conversion, refunds and chargebacks. Our payment provider, Paddle, is the reseller of Herae plans, and Net Revenue is the payout Paddle makes to Herae for that payment.
• Commission comes only from a Referred Couple's payments for their own Herae plan. You earn nothing from free sign-ups, free nights, gift purchases, gift links, free plans, or couples who never pay.
• You can't earn commission on your own account, your partner's, or anyone's you control.

B3. Credited straight away, payable once Herae has the money

Your share is credited to you the moment a Referred Couple's payment completes. We email you, and it shows on your invite page. From that moment it's set aside as yours, not Herae's.

It becomes payable when both of these are true:

• Herae has received that money from Paddle. Paddle pays sellers once a month, around the 15th, for the month before.
• The payment is at least 14 days old and hasn't been refunded or charged back.

Your invite page shows the expected date. If a payment is refunded or charged back, your share of it is taken back: before payout it's removed from your balance, and after payout it's taken off your future commission. It's never taken back from you in any other way, unless it came from fraud under A2. Herae never pays commission on money it hasn't received.

B4. Getting paid

• We pay your payable balance within 7 days of it becoming payable, once it's at least US$10. Smaller balances roll over. Payment is in US dollars by PayPal, Wise or bank transfer, whichever we agree with you.
• We pay our sending fees. Your receiving fees and any currency conversion on your side are yours.
• You're responsible for your own taxes on what you earn. We may ask for the details we need to pay you or to meet tax or anti-fraud rules, for example your legal name, country and payout details. We can hold a payment until we have them.
• With each payment we'll show how it was worked out: the number of paying Referred Couples, the Net Revenue, and your share. If you think a number is wrong, tell us within 60 days of that payment and we'll look at it with you.
• What happens to your balance when you leave, are removed, or the program or Herae ends is set out in B8.

B5. How you promote Herae

• Disclose it. Wherever you mention Herae in exchange for commission or free access, say clearly that it's a paid or affiliate relationship. Use your platform's paid-partnership label and/or plain words like "ad" or "I earn from this link". This is required by the US FTC's Endorsement Guides, the UK CAP Code and similar rules elsewhere.
• Be accurate. Only describe features Herae really has. Don't promise things Herae doesn't do, don't imply Herae provides or unlocks films, and don't call it free forever. Herae has a free plan and paid plans.
• No spam. No unsolicited bulk messages, fake reviews, or posts that break a platform's rules.
• No promoting Herae alongside pirated or illegal streaming. No bidding on "Herae" in paid search ads, and no pretending to be Herae or its team.
• Follow the rules of each platform you use.

B6. Your content and our name

Your content stays yours. We'll ask before we re-share or repost it. While you're in the program, you may use the Herae name and logo to promote Herae, as they are, in line with B5. That permission ends when you leave.

B7. The relationship

You're an independent creator, not an employee, agent or partner of Herae. You can't make promises for Herae. You're free to work with other brands, including other apps.

B8. Leaving, removal and the end of the program

You can leave at any time by telling us. Herae may end the program, or remove you from it, at any time, for any reason or no reason (A3). What happens to commission depends on why:

• You leave, Herae ends the program, or Herae removes you without cause: you're paid commission on Referred Couples' payments Herae has already received up to that date, once each becomes payable under B3, with no minimum. Nothing accrues after that date.
• You're removed for breaking B5 or for abuse under A2: commission not yet paid out is forfeited.
• Herae stops operating (A4): commission not yet paid out is no longer owed.

B9. Responsibility for your posts

You're responsible for what you publish. If a claim is made against Herae because your content broke the law or these terms, you agree to cover Herae's reasonable losses from that claim. This doesn't apply to anything we wrote or told you to say.

Part C · Invite rewards (referral program)

• Someone who signs up through your link, as a new account, gets an extra free movie night.
• You get an extra free night the first time someone who joined through your link watches a movie night of 45 minutes or more with their partner (not with you). That person is then a qualifying couple. A referral has to qualify within 90 days of the sign-up.
• When 3 of your invited couples have qualified, you and your partner get one month of Herae Together free. This is given once per account, and nothing is ever charged for it.
• Invite rewards are free access (A1). They don't renew into a paid plan and end as A3 and A4 describe.

Part D · Gifts ("a year of movie nights")

D1. Purchase. Gifts are sold through Paddle as Merchant of Record, as for our plans. You get a gift link, and we email it to you. The price is shown before you pay. A gift is a one-time payment and never renews.

D2. What it gives. Whoever opens the link and signs in gets 365 days of Herae Together for their account and their partner's. If their partner connects later, the partner gets the rest of that year. A link works once.

D3. When it starts. An unopened paid gift link has no expiry date. The year starts when the link is opened. Like everything Herae offers, it depends on Herae operating (A4).

D4. Refunds. The buyer can get a full refund within 14 days of purchase if the link hasn't been opened, and the link then stops working. After that, our Refund Policy and your statutory rights apply. If the link is lost or shared by mistake before anyone opens it, email us from the address you bought with and we'll cancel it and issue a new one.

D5. If Herae closes. Gifts end when the service ends (A4). Refunds are given where the law requires them, for example a consumer's statutory right to a refund for a paid service they didn't receive.

D6. Free gift links. Links that Herae gives away for free, for example through a creator's giveaway, work in the same way but aren't refundable and have no cash value. Unless the post that gave them out says otherwise, they're valid for 12 months from when they were given.

Part E · Free plans we grant

We sometimes grant a free month, a free year or free-for-life access, for example to creators we work with, as a thank-you, or to fix a problem.

• A grant covers the account it was given to and, where we say so, the partner account connected to it.
• "Free-for-life" means the plan named when it was granted, at no charge and with no renewal, for as long as Herae operates it. If that plan is replaced, Herae may move you to its closest successor.
• A grant is a gift from Herae, not payment for anything. You don't have to post about Herae or say anything positive to keep it. If you do mention Herae publicly after receiving free access, disclose it as B5 describes.
• Like every program, free plans can be changed or ended by Herae (A3), and they end if Herae stops operating (A4). Nothing is owed when they end. We'd only end a free-for-life plan early for a serious breach of the Terms & Conditions, abuse under A2, or if the plan itself is discontinued for everyone.
